By creating an account, accessing, or using our platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and NursePal LLC.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our platform. Your continued use after such changes constitutes acceptance of the modified Terms.

You must be at least 18 years old and have the legal capacity to enter into contracts to use our platform. By registering, you represent that all information you provide is accurate, current, and complete.

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your account information remains accurate and up-to-date

NursePal LLC ("NursePal," "we," "us") operates a healthcare staffing technology platform that connects travel nurses, allied health professionals, and other healthcare candidates with staffing agencies and healthcare facilities. We provide market intelligence tools, job listings, rate calculators, and related services.

NursePal is not a staffing agency, employer, or healthcare provider. We act as a technology intermediary and are not a party to any employment agreements, contracts, or staffing arrangements between users. All employment decisions, contract terms, and compensation are determined solely between the candidate and the hiring agency or facility.

We reserve the right to modify, suspend, or discontinue any aspect of our platform at any time without prior notice. We may also impose limits on certain features or restrict access to parts of the platform.

Certain features of our platform may require payment of fees. All fees are quoted in U.S. dollars unless otherwise specified. You agree to pay all applicable fees and authorize us to charge your designated payment method.

Fees are non-refundable except as expressly set forth in these Terms or as required by law. We reserve the right to change our fees upon reasonable notice.

NursePal LLC owns the platform. NursePal LLC owns all right, title and interest, including all intellectual property rights, in and to the platform and everything in it: its software, source and object code, APIs, databases, datasets and data compilations, rate, demand and market data, analytics, forecasts, models, reports, outputs, text, graphics, designs, logos, and the names NursePal, Stat and LocumsPal (together, the "NursePal Materials"). The NursePal Materials are protected by copyright, trademark, trade secret, database and other laws. The selection, arrangement and compilation of NursePal's data is itself NursePal's proprietary work and confidential trade secret.

Limited license. Subject to these Terms, NursePal grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the platform for your own personal or internal business purposes. This license ends automatically if you breach these Terms. All rights not expressly granted are reserved by NursePal LLC, and no other right or license is granted, whether by implication, estoppel or otherwise.

Without NursePal's prior written consent, you may not, and may not help anyone else:

• copy, reproduce, download in bulk, republish, sell, resell, rent, license or distribute any NursePal Materials;
• scrape, crawl, spider or use any bot, script or automated means to access the platform or extract its data, other than through an API NursePal licenses to you and within its limits;
• reverse engineer, decompile, disassemble or otherwise try to derive the source code, models, algorithms or underlying data of the platform;
• modify, translate or create derivative works of the NursePal Materials, or use them to build, train, benchmark or improve a competing product, dataset or artificial-intelligence or machine-learning model;
• frame or mirror the platform, or remove, obscure or alter any copyright, trademark or other proprietary notice; or
• get around any access control, usage limit or security measure.

Your content. You keep ownership of content you submit. You grant NursePal a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, modify and display it to operate, improve and provide the platform.

Feedback. If you send NursePal ideas, suggestions or feedback, you assign all rights in them to NursePal LLC, and NursePal may use them without restriction or payment.

Enforcement. Unauthorized use of the NursePal Materials would cause NursePal irreparable harm. NursePal may seek an injunction or other equitable relief, in addition to any other remedy, without posting bond, and may recover its reasonable attorneys' fees and costs in enforcing this section. This section survives termination of these Terms.

THE PLATFORM, INCLUDING ALL RATE DATA, PAY ESTIMATES, BILL RATES, WEEKLY PAY FIGURES, MARKET INTELLIGENCE, CALCULATORS, FORECASTS, AND ANALYTICAL TOOLS, IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy or completeness of any data, rates, or estimates displayed on the platform.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Our total liability for any claims arising from or related to these Terms or your use of the platform shall not exceed the amounts paid by you to us in the twelve (12) months preceding the claim.

We may suspend or terminate your account and access to the platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the platform will immediately cease.

You may terminate your account at any time by contacting us. Provisions of these Terms that by their nature should survive termination shall remain in effect.

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.
